Second Addendum to Letter of Appointment dated 21° July 2021
Following your acceptance of the role of Senior Independent Director of Post
Office Limited, and the Board’s approval of your appointment to this role when
Zarin Patel steps down on 13* March 2023, I am writing to set out the changes
to the terms of your appointment effective 14'* March 2023.
Serving as Senior Independent Director of Post Office Limited
Your annual fee will increase from £45,000 per annum to £50,000 per annum to
reflect the additional duties and time associated with being the Senior
Independent Director. In particular, the role will entail:
e Acting as a sounding board for the Chairman and as an intermediary for other
Directors;
e Ensuring that the performance of the Chairman is assessed annually,
facilitating a conversation on this with the Non-Executive Directors and
obtaining feedback from other individuals, as required; and
e Facilitating the Annual Board and Committee Review process.

I agree to the changes in my terms of appointment from 14% March 2023 until 27% July
2024, or the nearest Board meeting to that date and understand that all other terms
and conditions, as set out in my Letter of Appointment dated 21% July 2021 and the first
addendum to my Letter of Appointment dated 20 January 2022, remain unchanged.
