Hi Jess,

As requested, please find attached a submission setting out improved information-sharing arrangements between
Post Office and BEIS as Shareholder. This will be delivered through a new Framework Document, which will also help
govern the relationship between Post Office and the Shareholder more widely. Please note that these arrangements
have not yet been agreed with POL but we’ll work with them to finalise the Document prior to the end of
parliamentary recess and revert for the necessary approvals.

Thank you for providing this update.

Kelly has asked if it would be possible for her to comment on the Draft Information Sharing Agreement before it goes
to the board for sight. I saw it was in the DG updates to come to Kelly as a submission in July, please can I check if it
will be ready for the last box which is tomorrow at 12pm?

If not, I don’t suspect Kelly will want to hold up progression of the agreement particularly as it will only be in draft
form at the July board meeting.

Updates on these points are below.
1. Options

a. Have we received the action plan the Chair and Interim CEO agreed to provide? Tom Cooper
and Richard Watson (UKGI) are meeting POL’s lawyers on 18" July to discuss and we expect a
finalised action plan shortly afterwards.

b. She would like an update on the project they agreed to commission on how to structure and
operate a settlement. This will be discussed at the 18" July meeting and an action plan will
follow shortly afterwards.

c. Please could you confirm if Richard is now sitting on/observing the POL Litigation
subcommittee? This has been agreed in principle with POL. Richard is awaiting details of dates
for future meetings and has asked to be included in the copy list for papers. We expect him to
attend the group’s next meeting once it is scheduled and plan to confirm at the meeting on 18"
July.

d. Has POL met with Nigel Boardman yet, or is a date agreed? Tom Cooper and Richard Watson
are briefing Nigel Boardman on 14" August and we are trying to agree a date soon after that
when he can meet POL and their lawyers. The action plans under (a) and (b) above will likely
form the basis of Nigel’s consideration of POL’s strategy.

2. Information Sharing Framework Agreement

a. She would appreciate an update on where we are in regard to the framework agreement and
would like to see a draft document soon before 20" July. We have accelerated work with POL
to agree the overall text of the Shareholder Framework Agreement, which will include strong
information-sharing provisions. We will share a draft with the minister before Recess, and prior
to POL’s Board in July. The final document will require approvals in BEIS, HMT and POL before
it can be signed.
