SUMMARY OF CHANGE:
Fujitsu Services Limited ("Fujitsu Services") provides various services to Post Office
Limited ("Post Office") under an agreement between them dated 28 July 1999 (as
amended) (referred to herein as the "Existing Agreement").
This CCN varies and restates the Existing Agreement (the agreement as varied and
restated being referred to herein as the “Amended Agreement”) and provides for the
addition, replacement, amendment or removal of various related CCDs and CRDs.
Clause 1.4 of the Amended Agreement set out in this CCN provides that if a funding
Notice is not served by 28 February 2007 or an event described in Clause 1.5 or 1.6
of the Amended Agreement occurs prior to 28 February 2007, the Amended
Agreement will revert to "Baseline 7" as described in Schedule A6 of the Amended
Agreement.
This CCN incorporates and consists of this CCN number 1200 and the following
Attachments:
1. Details of Change and revisions to the Existing Agreement (Attachment 1);
2. New Clauses (Attachment 2);
3. New Schedules (Attachment 3); and
4. CCDs and CRDs (Attachment 4).

COMMERCIAL TERMS or CHARGES APPLICABLE IN RESPECT OF THIS CCN:
The Charges to Post Office for the services provided under the Amended Agreement are
set out in Schedules A6 (if applicable), D1, D7 and D8 of the Amended Agreement as
well as in certain of the CCDs describing the HNG-X Services referred to in Schedule
B3.1 of the Amended Agreement.
The Charges payable by Post Office to Fujitsu Services under Schedule 10 of the
Existing Agreement were varied with effect from 1 April 2006 by a letter from Colin
Lenton-Smith to lan O’Driscoll dated 3 May 2006, counter signed by lan O'Driscoll in
respect of certain services provided since 1 April 2006, as set out in an appendix to that
letter, (the "Variation Letter"). As set out in paragraph 2 of Attachment 1, the provisions
of the Existing Agreement will be varied by the substitution of the Amended Agreement
for the Existing Agreement. The second paragraph of the Variation Letter contemplates
an adjustment if the Charges paid pursuant to the Variation Letter from 1 April 2006 until
the date of signature of this CCN (the "Relevant Period") are different to those payable
under the Amended Agreement. As soon as reasonably practicable (and in any event
within one month of the date of signature of this CCN), Fujitsu Services shall calculate
the difference (if any) between the Charges paid by Post Office pursuant to the Variation
Letter and the corresponding Charges payable for the Relevant Period pursuant to the
provisions of Schedule D1 of the Amended Agreement and the amount equal to such
difference (if any) shall be either allowed by Fujitsu Services as a credit against future
Charges under Schedule D1, if the difference represents an over payment by Post
Office, or paid by Post Office to Fujitsu Services if the difference represents an under
payment by Post Office. Any such underpayment shall be invoiced by Fujitsu Services
on or after the date of signature by both Parties of this CCN and paid in accordance with
Schedule D2 of the Amended Agreement.
Save as expressly provided in this section below or in Attachment 1, none of the charges
due to be paid by Post Office to Fujitsu Services under any Work Orders are varied in
any way by this CCN, and all such charges will remain payable in accordance with such
Work Orders save as follows:
1. Without prejudice to any payments which shall have become due to be paid by
Post Office to Fujitsu Services under Commercial Terms CT0176a in respect of
the period prior to the Amendment Date (which shall remain due and payable) no
further payments shall become due for NBX Hardware under those Commercial
Terms on or after the Amendment Date.
2. The charges paid or payable by Post Office to Fujitsu Services for work
undertaken since the Amendment Date, or which may in the future be
undertaken, pursuant to the Work Orders listed below (the "Open Work Orders")
shall, with effect from the Amendment Date, be calculated or recalculated (as the
case may be) as soon as reasonably practicable (and in any event within one
month of the date of signature of this CCN) and paid according to the rates and
on the basis described in paragraph 10 of Schedule D1 of the Amended
Agreement. Any credit due to Post Office as a result of such recalculation shall
be allowed by Fujitsu Services against the Charges otherwise due in accordance
with Schedule D1. If such re-calculation represents an underpayment by Post
Office, such underpayment shall be invoiced and paid according to the provisions
of Schedule D2 of the Amended Agreement, along with any further payments due

to be paid by Post Office to Fujitsu Services for work undertaken pursuant to the
Open Work Orders.
